1. Parties and Acceptance of Terms

1.1. This End User License Agreement (EULA) is entered into between Shai Ltd. (hereinafter — Rights Holder) and the person who has accepted the EULA terms (hereinafter — User). 1.2. The EULA terms are accepted by:
  1. a)
    clicking the “Agree/Accept” button (click-wrap); and/or
  2. b)
    registering an Account; and/or
  3. c)
    actual use of the Software/Service.
1.3. If the User does not agree with the EULA, they must immediately stop using the Service and must not create an Account.

2. Terms and Definitions

2.1. Platform / Service — the shainote.ai software platform, including the web interface, software components, API, audio processing, transcription, text generation, analytics functions, and other functionality provided to the User within shainote.ai. 2.2. Software — the shainote.ai software, including client components, integration modules, libraries, and other software components provided as part of the Service and/or separately. 2.3. AI Module — a shainote.ai software component performing data processing and/or generation, structuring, and analytics tasks, including the artificial intelligence models used in the Service. 2.4. LLM (Large Language Model) — a large language model used to generate text, responses, summaries, analytics, and other processing results. 2.5. RAG (Retrieval-Augmented Generation) — an approach in which generation is supplemented by retrieving relevant data from knowledge bases and/or the User's documents, where such functionality is provided by the Service. 2.6. API — the software interface for accessing the Service functionality. 2.7. Account — the User's account created to access the Service. 2.8. License Key — a unique key, token, or other access identifier linked to the Account and/or to a legal entity if the User acts on behalf of an organization. 2.9. User Content — any data, materials, documents, files, texts, audio recordings, requests, prompts, and other information uploaded or transmitted by the User to the Service. 2.10. Result — output data, responses, transcriptions, summaries, reports, texts, analytics, and other materials generated by the Service based on the User's requests and/or User Content. 2.11. Confidential Information — any non-public information of the Rights Holder and/or the User, including technical documentation, architecture, keys, settings, commercial terms, and data. 2.12. Tariff — the selected shainote.ai usage plan (Free/Trial/Pro/Enterprise, etc.) with established limits and usage conditions. 2.13. Documentation — instructions, specifications, user guides, and other materials related to shainote.ai.

3. Subject Matter and Scope of the License

3.1. The Rights Holder grants the User a non-exclusive, revocable, non-transferable, limited license to use the Service/Software solely for the purposes provided by the shainote.ai functionality and this EULA. 3.2. The license is granted for the term of the EULA and/or the Tariff, provided that the User complies with the established restrictions and payment obligations, where such payment is required. 3.3. Territory of use: all countries, unless access to the Service is restricted by sanctions/export requirements or other restrictions established by the Rights Holder. 3.4. The license does not constitute a transfer of exclusive rights; all rights to the Service and Software remain with the Rights Holder.

4. Registration, Account, and Security

4.1. The User must provide accurate information upon registration and keep it up to date. 4.2. The User is responsible for actions performed through their Account, including safeguarding the password, keys, access tokens, and devices. 4.3. The User must immediately notify the Rights Holder of any suspected unauthorized access to the Account. 4.4. The Rights Holder may apply security measures, including blocking or resetting keys, to protect the Service and data.

5. License Key: Transfer Prohibition and Liability

5.1. The License Key is issued to the User and/or to a specific legal entity if the User acts on behalf of an organization, and is a personalized means of access. 5.2. The User is prohibited from transferring, assigning, disclosing, lending, selling, publishing, or otherwise providing the License Key to third parties, including affiliates, contractors, and consultants, unless otherwise agreed in writing with the Rights Holder. 5.3. In the event of a breach of this section, the Rights Holder may immediately block the key or access without compensation and demand that the breach be remedied. 5.4. Breach of the key transfer prohibition constitutes a material breach of the EULA and may result in termination of the EULA and the application of liability measures in accordance with Section 14.

6. Usage Restrictions (Prohibited Actions)

6.1. The User is prohibited from:
  1. a)
    creating derivative products by reworking the Service/Software, its code, components, models, or interface, as well as copying and modifying the Service/Software beyond the intended functions; the use of standard shainote.ai functionality by the User to create their own configurations and workflows is permitted and does not constitute the creation of a derivative product;
  2. b)
    performing reverse engineering, decompilation, disassembly, or other attempts to extract the source code, except where expressly permitted by mandatory provisions of law;
  3. c)
    circumventing technical restrictions, licensing, and protection systems;
  4. d)
    using the Service/Software to create a competing product or service;
  5. e)
    providing access to the Service to third parties as a “service bureau”, hosting provider, outsourcing center, or for resale purposes, unless provided for by a separate partnership agreement with the Rights Holder;
  6. f)
    using the Service/Software for unlawful, harmful, discriminatory, extremist, or fraudulent purposes;
  7. g)
    uploading malicious code, carrying out attacks, scanning, or load testing without the Rights Holder's consent;
  8. h)
    infringing the rights of third parties, including intellectual property rights, personal data rights, and trade secrets.

7. User Content and AI Results

7.1. Rights to User Content remain with the User. The User grants the Rights Holder a limited license to process the Content solely to provide the Service functionality, support, security, and quality improvement of the Service within the limits of the Privacy Policy and applicable law. 7.2. The User is responsible for the lawfulness of User Content and for holding the rights to use it and transfer it to the Service. 7.3. Nature of AI results: the User understands that Results may contain inaccuracies, omissions, or errors. The User must verify Results before using them in legally, financially, medically, or otherwise significant decisions. 7.4. The Rights Holder does not guarantee that the User will achieve any commercial, economic, or other outcome and is not liable for decisions made by the User based on the Results. 7.5. If the User uses the Results for publication or distribution, they must ensure compliance with third-party rights and applicable rules, including those on advertising and personal data.

8. Confidentiality

8.1. The Parties undertake to maintain the confidentiality of non-public information obtained in connection with the use of the Service. 8.2. The User must maintain the confidentiality of the License Key, credentials, and API tokens. 8.3. Terms on penalties or fines for breach of confidentiality may be established by a separate agreement or annex.

9. Personal Data and Information Security

9.1. Personal data is processed in accordance with the shainote.ai Privacy Policy and applicable law. 9.2. For corporate use, a separate data processing agreement (DPA) may apply. 9.3. The User may transfer to the Service personal data, special categories of personal data, and/or other confidential information, including when using the Service within the User's own infrastructure. In doing so, the User confirms and warrants that they hold all necessary legal grounds, consents, and/or data subject notifications for such transfer and processing. The User bears responsibility for the lawfulness of processing and for compliance with personal data and information security legislation. The Rights Holder is not responsible for the acts or omissions of the User, their employees or contractors, nor for the settings, access rights, and protective measures implemented within the User's infrastructure.

10. Support, Updates, and Changes

10.1. The Rights Holder may release updates and change the Service functionality, including the interface, software components, and API, while seeking to maintain backward compatibility within reasonable limits. 10.2. The User may submit questions related to the use of the Service through the available communication channels indicated on the shainote.ai website or in the Service interface. 10.3. The Rights Holder may independently determine the procedure for handling User requests, as well as the timeframes and methods for providing responses and technical fixes, taking into account the nature and complexity of the relevant matter.

11. Payments and Taxes

11.1. The cost, frequency, and methods of payment are determined by the Tariff and/or the invoice/offer. 11.2. Taxes are paid in accordance with applicable law.

12. Warranties

12.1. The Rights Holder warrants that it holds the rights to grant a license to the Service/Software. 12.2. Unless otherwise required by law, the Service/Software is provided “AS IS”, without warranties of fitness for the User's particular purpose. 12.3. The Rights Holder may carry out maintenance, including short interruptions in the operation of the Service.

13. Limitation of Liability

13.1. The Rights Holder is not liable for:
  1. a)
    indirect damages, lost profits, loss of goodwill, or business interruption;
  2. b)
    actions of third parties (providers, hosting, payment systems) that the Rights Holder does not directly control;
  3. c)
    User errors, incorrect configurations, or infrastructure incompatibility.
13.2. The total liability of the Rights Holder is limited to the amount actually paid by the User for the Service over the last 6 (six) months.

14. Violations, Blocking, and Sanctions

14.1. In the event of any breach of the EULA, the Rights Holder may:
  1. a)
    restrict functionality;
  2. b)
    suspend access;
  3. c)
    block the Account or License Key;
  4. d)
    terminate the EULA unilaterally.
14.2. If attempts at unauthorized access, License Key transfer, circumvention of restrictions, or actions creating a security threat are detected, the Rights Holder may apply immediate protective measures without prior notice.

15. Term and Termination

15.1. The EULA is effective from the moment the terms are accepted until the use ceases or the EULA is terminated. 15.2. The User may cease use at any time by discontinuing access to the Service. 15.3. The Rights Holder may terminate the EULA in the event of a material breach of the EULA terms by the User.

16. Notifications

16.1. Notifications are sent to the email address specified in the Account and are deemed received on the next business day after being sent. 16.2. The Rights Holder publishes material changes to the EULA and policies in the shainote.ai interface or on the shainote.ai website.

17. Governing Law and Dispute Resolution

17.1. This Agreement, as well as any matters arising from or in connection with it (including questions of validity, conclusion, performance, interpretation, termination, and the consequences of termination), shall be governed by and construed in accordance with AIFC law (AIFC Acts). 17.2. All disputes, disagreements, or claims arising out of or in connection with this Agreement shall be settled through negotiations. If the Parties fail to reach agreement within 30 (thirty) calendar days from the date one Party receives written notice of the dispute, such dispute shall be subject to the exclusive jurisdiction of the AIFC Court.

18. Final Provisions

18.1. The invalidity of an individual provision does not affect the validity of the remainder of the EULA. 18.2. The Rights Holder may update the EULA; continued use of the Service after an update constitutes the User's acceptance of the new version of the EULA. 18.3.
